THE CONSTITUTION OF THE CALIFORNIA ASSOCIATION
OF PHILOSOPHY OF EDUCATION


ARTICLE I.

Name. The name of the association shall be the California Association of Philosophy of Education.

ARTICLE II.

Purposes of the Association. The purposes of the Association shall be:

(a) to promote the philosophical consideration of problems in education by providing a forum wherein those who offer considered ideas, systematically presented, may receive constructive and critical attention

(b) to encourage the participation and contributions of philosophers who have an interest in education

(c) (i) to discuss the interests of philosophers of education in the present educational, political and economic situation

(ii) to promote interests (II (c) (i) ) and those of better education generally.

ARTICLE III.

Membership. There shall be three (3 categories of membership in the association.)

(a) Guardians.

Guardians are active members in good standing. The following criterion will be employed in determining eligibility as a Guardian:

The candidate shall have presented evidence of interest in and capacity to contribute to the achievement of the purposes of the Association.

Applicants for membership must be nominated by one member of the Association who has personal knowledge of the applicant. The nominating member shall communicate his or her support of the applicant to the Executive of the Association. At a meeting held during the period of the Association's conferences, the Executive shall recommend to the general membership eligible applicants for admission to membership. Applicants will be elected to membership by majority approval of the members of the Association attending the general meeting where applications are considered.

(b) Auxiliaries/Emigres.

Auxiliaries are former Guardians residing in California who cannot attend meetings regularly. Normally, this category of membership is reserved for emeriti members and members with special circumstances.

Emigres are former Guardians residing outside California who can no longer regularly attend meetings for geographic reasons.

Members may choose to identify themselves as Auxiliaries or Emigres, which reduces their dues obligation without infringing their opportunities to attend meetings occasionally, present papers on the program, or participate in Business Meeting decisions.

(c) Common Citizens.

Common Citizens are defunct Guardians who have not paid dues and are not attending meetings. The members in this category will be kept on the membership list for two (2) years, after which time they shall be nonmembers, unless their status has changed to one of the membership categories above.

(d) At each General (Business) Meeting the Secretary shall report on the number of Guardian members in the Association. Should this figure be forty or more, the General Meeting must consider whether the size of the Association is seriously interfering with the pursuit of the Association's goals and whether some means needs to be taken to remedy the situation.

ARTICLE IV.

Management of the Association's business. The management of the Association's business shall be in the hands of an Executive Committee. The Executive shall consist of the following officers:

President

Secretary and Vice-President

Treasurer

The Executive shall be elected biannually at the General Meeting of the Spring Conference.

The Executive Committee shall consist of the Executive and three other members of the Association. The Executive Committee Members shall be elected for a term of three years. Upon retirement such members shall not be eligible to fill such a position for one year. They are eligible, however, for election to the Executive. Should a member of the Executive Committee be elected to the Executive proper before his/her terms has expired, that position shall be considered vacated and a replacement sought.

The Executive Committee shall have power by majority vote to co-opt not more than one full member of the Association. Any member so co-opted shall hold office only until the next Annual General Meeting but shall then be eligible for election.

The Executive Committee shall meet at least once a year and at such other times as the Committee shall determine to arrange meetings and Conferences of the Association, admit new members, administer the finances of the Association, and deal with all other such matters as concern the implementation of the purposes of the Association.

At all meetings of the Executive Committee a majority of the members shall constitute a quorum.

All decisions taken by the Executive Committee, including those concerning membership, may be repealed by a majority vote taken at any General Meeting.

ARTICLE V.

Subscription. Every member shall pay to the Treasurer an annual subscription approved by the membership of the Association at an Annual General Meeting and which shall be payable at the Annual Meeting. Failure to pay the dues, adequate notice having been given, may result in the termination of membership.
ARTICLE VI.

General Meetings. General Meetings shall be held during the period and at the place of Fall and Spring Conferences at a time to be fixed by the Executive Committee.

The business at such meetings shall be the passing of accounts and such other business as shall have been communicated to the Secretary and included in the notice of the meeting sent to the Members.

The Secretary shall, at least fourteen days before any Annual General Meeting send to every member, at his address, a notice of the meeting stating the time and the place at which it will be held, and the business to be conducted.

The quorum at any General Meeting shall be all those members present at that meeting.

ARTICLE VII.

Full accounts of the financial affairs of the Association shall be delivered to every member at the Annual General Meeting.

ARTICLE VIII.

Amendment of the Constitution. The Constitution may be added to, repealed or amended by resolution at any Annual Meeting, if, and only if, the resolution is carried by at least two-thirds of the members present.

Written notice of proposed amendments must be supported by the signatures of not less than five members of the Association, and must be received by the Secretary not less than three weeks before the date of the General Meeting. Notice of any amendments will be attached to and distributed with the agenda for the Annual Meeting.

ARTICLE IX.

The officers of the Executive Committee are authorized, on behalf of the Association members, to enter into Contracts relating to the Management of the Association and its affairs.

Such parties contracting expressly or impliedly by, on behalf of the Association, shall be indemnified out of the Association's funds and by the members, for the
time being, against any liability loss expense action or damages reasonably incurred by virtue of entering into such a Contract.
